A former chief executive of Fletcher Building, Ralph Waters is to become the building products and construction firm's next chairman.
He replaces Roderick Dean who retires next March.
Mr Waters has recently been a non-executive director on the Fletcher Building board.
The company says two other directors, Paul Baines and Geoffrey McGrath, will step down at the end of June.
It has appointed two new independent directors, Gene Tilbrook and Alan Jackson, who will join the board in September.
